REFUND / CANCELLATION POLICY

This Refund / Cancellation Policy ("Policy") applies to all services, subscriptions, one-time purchases, demos, website-related services, hosting-related services, support-related services, chatbot-related services, setup services, and all other offerings provided by BrainSites.io, BrainSites, and its owners, operators, affiliates, contractors, employees, successors, assigns, and authorized representatives (collectively, "BrainSites," "Company," "we," "us," or "our"). This Policy is incorporated into and forms part of our Terms of Service.

By purchasing, subscribing to, paying for, using, or continuing to use any BrainSites service, you acknowledge and agree to this Policy.

1. General Refund Position

Because BrainSites commonly performs customized work, pre-build work, design work, technical setup work, planning work, strategy work, allocation of production capacity, business-specific implementation, and other service activity in reliance on a client’s order, and because prospective clients are often given the opportunity to review a demo or concept before deciding whether to purchase, all sales are final unless otherwise expressly stated in writing by BrainSites or required by applicable law.

2. No Refunds After Demo Review Opportunity

BrainSites may, in many cases, create and present a demo concept, preview, or pre-sale website draft before a client decides whether to proceed. Because this gives the client a meaningful opportunity to evaluate the general style, direction, and fit of the service before making a purchase decision, the client agrees that once payment is made, the purchase is final and non-refundable, except where required by law or where BrainSites expressly agrees otherwise in writing.

The existence of a pre-sale demo, concept, preview, or walkthrough further supports the understanding that the client has had a fair opportunity to assess whether the service is appropriate before entering into a paid arrangement.

3. Demo Disclaimer

Any free demo, concept, mockup, preview, or pre-sale website draft provided by BrainSites is for demonstration and evaluation purposes only.

A demo is not a finished production website and may include placeholder text, draft layouts, incomplete sections, unconnected forms, non-functional buttons, missing integrations, temporary content, or other unfinished elements. BrainSites is under no obligation to make a free demo fully functional, publish-ready, complete, or legally compliant prior to payment.

No refund, reimbursement, or claim shall arise from the fact that a free demo contains incomplete, draft, or non-functional elements.

4. Subscription Cancellation

If you purchase a recurring monthly or other subscription-based service, you may cancel at any time.

Unless otherwise required by law or expressly agreed in writing:

At the end of the active paid period, BrainSites may deactivate, unpublish, disable, suspend, remove, disconnect, or otherwise make the website or managed service inactive.

5. Effect of Cancellation of Subscription

When a subscription ends due to cancellation, expiration, non-renewal, failed payment, suspension, termination, or other ending event, BrainSites has no further obligation to continue:

The website may be taken offline or made inactive once the applicable paid period ends.

A former subscription client may request reactivation in the future, but any reactivation is subject to technical feasibility, then-current pricing, then-current terms, and any restoration or setup requirements determined by BrainSites.

6. Buyout / Purchase Option After Subscription

In some cases, BrainSites may, in its sole discretion, offer a buyout, release, transfer, or purchase option for a website previously used under a subscription arrangement. Any such option is entirely separate from the original subscription unless already included in writing.

BrainSites may approve, deny, price, structure, condition, or limit any buyout or transfer option in its sole discretion.

No ownership transfer, code transfer, file release, hosting transfer, or operational handoff is required unless BrainSites expressly agrees to it in writing and any required fees are fully paid.

7. One-Time Purchases

If you purchase a one-time service from BrainSites, the payment is non-refundable once paid, except where required by applicable law or where BrainSites expressly states otherwise in writing.

Because one-time work commonly involves customized design, customized setup, business-specific implementation, advisory effort, technical execution, and allocation of production resources, one-time payments are considered final.

Unless expressly stated otherwise in writing, one-time purchases do not include free ongoing maintenance, free future revisions, free future edits, free future technical support, or free ongoing management after delivery.

If a one-time customer later requests maintenance, corrections, support, edits, technical help, or other further assistance, BrainSites may choose, in its sole discretion, whether to provide such help, and if provided, it may be billed separately at a fee determined at that time.

8. Chatbot and Third-Party Platform Costs for One-Time Purchases

Where a one-time purchase includes chatbot setup, chatbot configuration, or guidance relating to a chatbot or similar external tool, BrainSites may provide reasonable setup assistance, basic onboarding, and general guidance about how the client may operate such tool.

However, unless expressly stated otherwise in writing, BrainSites does not pay for the client’s ongoing third-party software fees, chatbot platform subscription fees, message fees, usage fees, API fees, token fees, account fees, renewal fees, or other external software costs after delivery under a one-time purchase.

Those costs are solely the client’s responsibility.

9. No Free Revisions for One-Time Purchases

Unless expressly stated otherwise in writing, one-time purchases do not include free revisions, free edits, or free maintenance after delivery.

Any future request, including but not limited to text changes, image swaps, content updates, structural adjustments, technical fixes, advisory assistance, or operational guidance, may be accepted or declined by BrainSites in its sole discretion and, if accepted, may be billed separately.

10. Minor Edits Under Eligible Plans

Where a currently active service plan includes edits, revisions, support, or maintenance, only the items expressly included in the applicable offer are covered.

Unless otherwise expressly agreed in writing, a minor edit generally means a limited non-structural adjustment such as:

For clarity, a minor edit does not include a full redesign, major style change, major layout change, multiple new sections, new custom functionality, new integrations, app-like features, e-commerce functionality, major animation work, major branding changes, strategic repositioning, or a rebuild of the website.

BrainSites reserves the sole and final right to determine whether a request is covered, minor, excessive, out of scope, technically risky, commercially unreasonable, or separately billable.

11. No Refunds for Scope Disputes or Out-of-Scope Requests

No refund will be owed merely because a client requests work that is outside the purchased scope, outside the included support structure, outside the current plan, or outside what BrainSites reasonably classifies as a covered item.

BrainSites may refuse, postpone, separately quote, or decline any request that falls outside the purchased offer or that BrainSites determines, in its sole discretion, to be excessive, abusive, repetitive, risky, vague, unsupported, technically unreasonable, or commercially impractical.

12. Client Delay, Non-Responsiveness, and Failure to Provide Materials

No refund, credit, or cancellation right shall arise merely because the client delays the project, fails to reply, fails to provide requested materials, fails to provide domain access, fails to provide approvals, fails to provide necessary information, changes direction repeatedly, or otherwise prevents or slows completion of the work.

BrainSites may pause work pending client cooperation and may reschedule delivery based on operational availability.

13. Timelines Are Estimates Only

Any delivery window, build window, launch estimate, target date, turnaround estimate, expected completion period, or other timeframe communicated by BrainSites is an estimate only unless expressly stated in writing as guaranteed.

Because delivery depends on many variables, including client responsiveness, materials, approvals, technical constraints, third-party tools, staffing, queue volume, and operational realities, BrainSites does not provide refunds, credits, or compensation solely because work is delivered earlier or later than estimated.

14. Failed Payments, Nonpayment, and Chargebacks

If a payment fails, is reversed, is disputed, is charged back, or is otherwise not successfully received, BrainSites may suspend work, pause support, deactivate the website, remove publication, withhold deliverables, terminate the relationship, deny future service, and pursue any lawful remedy available.

No refund, transfer, continued access, continued hosting, continued support, or release of materials is required while payment remains unpaid, disputed, reversed, or under active chargeback challenge.

You remain responsible for all valid amounts owed, and BrainSites may seek recovery of unpaid fees, administrative costs, collection-related costs, dispute costs, and reasonable legal fees where permitted by law.

15. No Refunds for Third-Party Issues

BrainSites is not responsible for issuing refunds, credits, or compensation for issues caused in whole or in part by third-party platforms, registrars, chatbot providers, hosting platforms, form tools, analytics tools, software vendors, payment processors, internet outages, domain issues, email delivery issues, or other external services outside BrainSites’ reasonable control.

16. Domain Responsibility

Unless expressly stated otherwise in writing, clients are responsible for purchasing and maintaining their own custom domain names if they want a custom domain.

BrainSites may provide guidance or connection assistance, but BrainSites does not assume liability for domain availability, registrar issues, renewal failures, expiration, ownership disputes, DNS misconfiguration, transfer problems, downtime, or losses related to the client’s domain provider or the client’s own domain management.

No refund shall be owed because a client fails to purchase a domain, delays domain setup, buys the wrong domain, loses access to a domain account, or experiences a registrar-related problem.

17. No Refunds for Business Results or Lack Thereof

BrainSites does not guarantee any particular level of leads, sales, calls, appointments, bookings, revenue, profit, traffic, rankings, conversions, customer response, or other business outcome.

Accordingly, no refund, partial refund, credit, or cancellation right shall arise merely because the client did not achieve hoped-for business performance, subjective expectations, or desired commercial results.

Any statements regarding likely benefits, expected improvements, or business upside are general forward-looking statements only and are not guarantees of specific measurable outcomes.

18. Suspension or Termination by BrainSites

BrainSites may suspend, limit, or terminate services if the client breaches the Terms of Service, fails to pay, engages in abusive conduct, creates legal or reputational risk, provides unlawful or infringing content, misuses support, or otherwise creates a situation that BrainSites determines, in its sole discretion, to be harmful, unsafe, unlawful, commercially unreasonable, or inconsistent with its business interests.

In such a case, BrainSites is not obligated to provide a refund except where required by law.

19. No Waiver of Other Rights

This Policy does not limit any other rights or protections available to BrainSites under the Terms of Service, invoice terms, proposal terms, checkout terms, or applicable law.

20. Changes to This Policy

BrainSites may modify or update this Refund / Cancellation Policy from time to time. The updated version will become effective upon posting unless otherwise stated. Continued use of our website or services after an updated version becomes effective constitutes acceptance of the revised Policy.
